These Terms & Conditions (“Terms”) govern access to and use of the Prime Executive Support website, forms, content, communications, digital features, Optimus AI Assistant, and related online services.
Please read these Terms carefully.
By accessing or using the website or voluntarily using its interactive features, you acknowledge these Terms. Where applicable law requires affirmative agreement to particular contractual provisions or electronic transactions, such agreement will be obtained through an appropriate acceptance mechanism.
If you enter into a separate written service agreement, proposal, statement of work, order, or other agreement with Prime Executive Support, that agreement will govern the applicable professional services and will control over these website Terms to the extent of any conflict.
Nothing in these Terms excludes, restricts, or waives a right or remedy that applicable law prohibits the parties from excluding, restricting, or waiving.
1. About Prime Executive Support
Prime Executive Support may provide:
- executive assistance;
- administrative support;
- CRM management;
- marketing support;
- website and SEO support;
- business operations support; and
- related professional, administrative, operational, technical, and digital support services.
Descriptions of services, availability, examples, pricing information, and other website information are general information only. They do not constitute a binding offer to perform services on particular terms unless expressly identified as such by an authorized Prime Executive Support representative.
2. Eligibility & Authority
Persons entering into transactions or engagements must possess the legal capacity required to do so.
If you use the website, submit information, approve work, or enter into an engagement for a company, organization, partnership, employer, client, or other entity, you represent that you possess sufficient authority to act for that entity. You are responsible for the accuracy of that representation.
3. Acceptable Use
You may not use the website, Optimus AI, forms, communications, systems, or related features to:
- engage in unlawful, fraudulent, deceptive, threatening, abusive, defamatory, or malicious activity;
- impersonate another person or entity or misrepresent identity, affiliation, authority, or intent;
- seek or obtain unauthorized access to accounts, systems, networks, data, restricted information, or administrative functions;
- interfere with availability, performance, security, integrity, or the lawful use of the website or another user's access;
- introduce malware, malicious code, destructive content, or harmful automated activity;
- perform vulnerability testing, penetration testing, scanning, probing, or security research without prior written authorization;
- bypass, defeat, disable, or circumvent access restrictions, rate limits, authentication, security controls, or protective measures;
- send spam, unauthorized advertising, bulk solicitations, or other unsolicited communications;
- scrape, harvest, copy, extract, index, or collect content or data through unauthorized automated means;
- misuse Optimus AI, manipulate it for harmful purposes, or attempt to extract confidential system instructions, hidden prompts, credentials, protected data, or restricted technical information;
- infringe, misappropriate, or violate intellectual-property, privacy, confidentiality, publicity, contractual, or other rights; or
- engage in activity reasonably likely to harm Prime Executive Support, its clients, personnel, infrastructure, reputation, vendors, users, or other persons.
Prime may restrict, block, suspend, or terminate access where reasonably necessary for legal, security, fraud-prevention, operational, or abuse-prevention reasons.
4. Website Information
Website information may contain errors, omissions, outdated information, or technical inaccuracies. Prime may correct, modify, replace, suspend, or remove website information at any time, subject to applicable law and applicable contractual obligations.
General website content is informational and does not constitute legal, tax, financial, accounting, medical, employment, cybersecurity, regulatory, or other licensed professional advice. You should obtain advice from an appropriately qualified professional for decisions requiring such advice.
5. Inquiries Do Not Create a Client Relationship
Submitting a form, sending an email, calling, requesting a consultation, interacting with Optimus AI, or requesting information does not by itself:
- create a client, fiduciary, advisory, or other professional relationship;
- obligate Prime to accept or perform work;
- reserve capacity;
- guarantee pricing, availability, deadlines, or results; or
- create a professional-services agreement.
A professional-services relationship arises only through a legally effective agreement accepted by Prime through an authorized representative.
6. Professional Services
Paid services may be governed by a separate service agreement, proposal, statement of work, work order, quotation, engagement letter, subscription agreement, or other agreement.
An engagement-specific agreement may address scope, fees, payment, timing, approvals, deliverables, ownership, confidentiality, warranties, liability, dispute resolution, and other service terms. If an engagement-specific agreement conflicts with these general website Terms regarding paid professional services, the engagement-specific agreement controls within its scope.
7. Client Responsibilities
Clients are responsible, as applicable, for:
- providing complete and accurate information;
- supplying timely materials, instructions, access, and dependencies;
- obtaining necessary permissions, consents, licenses, and authorizations;
- ensuring that client-provided data and instructions are lawful;
- maintaining appropriate backups;
- protecting and properly administering credentials and accounts;
- providing timely approvals and feedback;
- reviewing deliverables, configurations, campaigns, communications, and changes;
- meeting applicable legal, regulatory, contractual, and industry obligations;
- obtaining specialist legal, tax, accounting, financial, regulatory, cybersecurity, or other professional advice where necessary; and
- making final business, operational, publication, and implementation decisions.
Subject to applicable law and the controlling service agreement, Prime is not responsible for delay, rework, failure, loss, or other consequences caused by incomplete, inaccurate, delayed, inaccessible, unlawful, or unauthorized client information, materials, instructions, access, approvals, systems, or other dependencies.
8. Client Approvals
Prime may reasonably rely on a client's approval of content, designs, configurations, campaigns, website changes, communications, data, and deliverables.
The client remains responsible for reviewing and approving matters that require its own business, factual, legal, technical, regulatory, brand, or professional judgment. Approval does not transfer to Prime an obligation that applicable law or the applicable agreement assigns to the client.
9. Changes in Scope
Requests outside an agreed scope may be refused or may require a revised quotation, revised timeline, additional payment, new statement of work, or other revised terms.
Informal discussion, preliminary assistance, silence, or continued communication does not automatically expand an agreed scope or amend a controlling agreement.
10. No Guarantee of Results
Prime does not guarantee revenue, profit, leads, conversions, SEO rankings, indexing, traffic, social reach, engagement, customer acquisition, funding, employment, platform approval, uninterrupted availability, cybersecurity outcomes, or any other particular commercial or operational result.
Results depend on factors outside Prime's control, including client decisions and execution, market conditions, competitors, third-party platforms, algorithms, regulatory requirements, user behavior, technology, and timing.
Past performance, examples, case studies, estimates, projections, forecasts, and benchmarks are illustrative and do not guarantee future performance.
11. Website & SEO Services
Prime does not control Google or other search engines, search or platform algorithms, browsers, hosting providers, competitors, third-party platforms, external technologies, or changes made by those parties.
Prime does not guarantee search rankings, indexing, traffic, visibility, rich results, Core Web Vitals, search-engine treatment, algorithmic treatment, or continued compatibility with an external platform.
Website and SEO recommendations may require client implementation, third-party cooperation, continued maintenance, and adaptation to changing technology or platform requirements.
12. Third-Party Platforms
Services and website features may depend on independent third-party providers, including hosting, email, CRM, analytics, payment, communications, social-media, search, advertising, software, and AI providers.
Prime does not control an independent third party's uptime, security, pricing, policies, algorithms, account decisions, APIs, functionality, content moderation, terms, or continued availability.
To the fullest extent permitted by applicable law, Prime is not responsible for an independent third party's acts, omissions, outages, policy changes, access restrictions, data handling, security failures, service discontinuation, or other failures beyond Prime's reasonable control. Use of a third-party service may be subject to that third party's separate terms and privacy practices.
13. CRM, Client & Business Data
Clients that provide Prime access to CRM records, customer data, mailing lists, systems, databases, accounts, credentials, or business information represent that they possess sufficient authority and lawful basis to provide that access and to instruct the relevant processing.
Clients remain responsible for their underlying notices, permissions, consents, data accuracy, retention decisions, suppression lists, communications rules, regulatory compliance, and other obligations unless a separate written agreement expressly assigns a particular responsibility to Prime.
Prime may decline instructions that reasonably appear unlawful, unauthorized, insecure, or outside the agreed scope.
14. Optimus AI Assistant
Optimus AI is an artificial-intelligence-powered visitor-assistance system. Its output may be incomplete, inaccurate, outdated, ambiguous, or unsuitable for a particular situation.
Users must independently verify material information before relying on an Optimus response. Optimus does not provide legal, tax, accounting, financial, medical, employment, regulatory, cybersecurity, or other regulated or licensed professional advice.
No Contracting Authority
Unless expressly confirmed by an authorized Prime representative through a legally effective agreement, Optimus cannot:
- enter into or amend a contract;
- accept contractual terms;
- waive Prime's rights;
- approve refunds;
- guarantee prices, availability, deadlines, or results;
- admit liability;
- settle claims;
- authorize compensation; or
- create binding legal or commercial commitments.
An Optimus response does not by itself amend or override an executed agreement, authorized written communication, controlling policy, or applicable legal requirement.
Users may not use Optimus in violation of Section 3 or submit credentials, payment-card security codes, government identifiers, medical information, or other highly sensitive information through the assistant unless Prime expressly provides an authorized and appropriate process.
15. User Submissions
If you submit content, files, messages, instructions, feedback, or other materials through the website, you represent that you have sufficient rights and authority to do so and that the submission is lawful, accurate in all material respects, and does not infringe, misappropriate, or violate another person's rights.
You authorize Prime to receive, host, reproduce, transmit, review, and otherwise process the submission as reasonably necessary to respond to you, operate the relevant feature, protect the website, comply with law, and provide requested services. This authorization does not transfer ownership of your submission to Prime.
Prime may reject, remove, quarantine, or decline to act on submissions that reasonably appear unlawful, harmful, unauthorized, deceptive, insecure, or outside the intended purpose of the website.
16. Career Applications
Information submitted for employment, contractor, freelance, internship, partnership, or other professional opportunities may be used to evaluate qualifications, communicate with applicants, verify information where lawful, administer recruiting, maintain appropriate records, protect legal interests, and comply with applicable obligations.
Applicants are responsible for the accuracy of submitted information and for having the right to provide any references, work samples, or other materials. Submission does not guarantee an interview, offer, engagement, employment, contractor relationship, or other opportunity.
17. Intellectual Property
The website and its content, branding, design elements, text, graphics, software, code, databases, workflows, documentation, and other materials may be protected by copyright, trademark, trade-secret, contract, and other laws.
Except for the limited right to access and use the public website for its intended lawful purpose, no right, title, license, or interest is granted by implication, estoppel, or otherwise.
Unless expressly transferred in a separate written agreement, Prime retains ownership of its pre-existing and independently developed materials, tools, processes, methodologies, know-how, templates, software, reusable components, branding, and other intellectual property, including improvements and general skills that do not disclose client confidential information.
You may not copy, reproduce, modify, distribute, publish, reverse engineer, create derivative works from, sell, license, or commercially exploit protected Prime materials except as expressly permitted by law or prior written authorization.
18. Client Materials & Deliverables
Clients retain their rights in materials they provide to Prime and grant Prime the rights reasonably necessary to access, use, reproduce, modify, transmit, and process those materials for the engagement.
Ownership, licensing, permitted use, delivery, acceptance, and transfer of paid deliverables are governed by the applicable service agreement. Payment or delivery does not transfer Prime's pre-existing intellectual property, reusable components, methodologies, tools, or know-how unless the controlling agreement expressly states otherwise.
Third-party materials, software, fonts, plugins, stock assets, data, or platform components remain subject to their applicable third-party licenses and restrictions.
19. Confidentiality
Using the public website, submitting a general inquiry, or interacting with Optimus does not by itself create a confidential, fiduciary, attorney-client, or other privileged relationship.
Do not submit trade secrets, credentials, regulated data, or other highly confidential information through a general form, ordinary email, or Optimus unless Prime has expressly authorized an appropriate channel.
Confidentiality obligations for a professional engagement are governed by the applicable written agreement and applicable law. Prime may disclose information where authorized, reasonably necessary to provide services through appropriate providers, or required by law, legal process, or protection of legal rights, subject to applicable obligations.
20. Website Availability
Prime may modify, maintain, restrict, suspend, replace, or discontinue website content or features, including Optimus, at any time, subject to applicable law and contractual obligations.
Prime does not guarantee uninterrupted, timely, error-free, or continuously secure availability. Maintenance, updates, security measures, third-party failures, network conditions, and events outside reasonable control may affect access.
21. Security
Prime may use administrative, technical, and organizational safeguards reasonably designed for the nature of the website and information handled. No Internet transmission, software, AI system, cloud service, email, or storage environment can be guaranteed to be completely secure.
Users and clients are responsible for protecting their devices, credentials, accounts, permissions, backups, and local systems. You must promptly notify Prime if you reasonably suspect unauthorized use of a Prime-provided account or a security issue affecting your interaction with Prime.
Nothing in this section limits a responsibility that applicable law prohibits Prime from limiting.
22. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLIC WEBSITE, GENERAL WEBSITE CONTENT, OPTIMUS AI, AND GENERAL ONLINE FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PRIME DISCLAIMS WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, CONCERNING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ERROR-FREE OPERATION, SECURITY, ACCURACY, COMPLETENESS, SUITABILITY, AND RESULTS, TO THE EXTENT SUCH WARRANTIES, REPRESENTATIONS, OR CONDITIONS MAY LAWFULLY BE DISCLAIMED.
Prime does not warrant that defects will be corrected, that website access will be uninterrupted, that content will remain current, or that the website or Optimus will meet every user's requirements.
Nothing in these Terms disclaims or limits a warranty, representation, condition, right, or remedy that applicable law prohibits Prime from disclaiming or limiting.
23. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRIME WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE PUBLIC WEBSITE, GENERAL WEBSITE CONTENT, OPTIMUS AI, OR THESE TERMS.
This exclusion includes, to the extent permitted by law, loss of profits, revenue, business opportunities, anticipated savings, goodwill, use, data, or business continuity, and business interruption, even if the possibility of such loss was known or reasonably foreseeable.
FOR CLAIMS ARISING SOLELY FROM FREE USE OF THE PUBLIC WEBSITE OR OPTIMUS AI, PRIME'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED US $100, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
The US $100 public-site and Optimus cap does not apply to paid professional services where liability is governed by a separate service agreement. Liability relating to those paid services is governed by the applicable engagement-specific agreement within its scope.
These limitations apply only to the fullest extent permitted by applicable law. They do not exclude or limit liability, rights, or remedies that applicable law prohibits the parties from excluding or limiting.
24. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Prime Executive Support and its personnel and authorized representatives from third-party claims, demands, proceedings, losses, liabilities, damages, judgments, penalties, and reasonable attorneys' fees and defense costs arising from or relating to:
- your unlawful website use;
- your material violation of these Terms;
- unauthorized or abusive use of Optimus;
- a submission you were not authorized to provide;
- infringement or misappropriation caused by your content, instructions, or conduct;
- your fraud or willful misconduct;
- your violation of applicable law; or
- your unauthorized interference with security, systems, accounts, or data.
Prime may assume control of the defense where reasonably necessary. You must reasonably cooperate with the defense and may not settle an indemnified claim in a manner that admits wrongdoing by Prime, imposes an obligation on Prime, or adversely affects Prime's rights without Prime's prior written consent.
This section does not require indemnification to the extent prohibited by applicable law or to the extent a claim results from conduct for which applicable law prohibits indemnification.
25. Equitable Relief
Where legally available, Prime may seek appropriate temporary, preliminary, or permanent equitable or injunctive relief concerning intellectual property, confidential information, unauthorized access, cybersecurity, security interference, or other rights for which monetary damages may be inadequate.
Nothing in this section eliminates any showing, bond, procedure, defense, or other requirement imposed by applicable law.
26. Suspension & Termination
Prime may restrict, suspend, or terminate access to the website or a feature where reasonably necessary to address suspected unlawful conduct, fraud, abuse, security risk, system interference, material violation of these Terms, legal requirements, maintenance, or operational necessity.
Termination of website access does not eliminate obligations or rights that by their nature should survive, including provisions concerning intellectual property, disclaimers, liability, indemnification, disputes, and interpretation, subject to applicable law.
27. Privacy
Prime's handling of personal information through the website is described in the Privacy Policy. Cookies and similar technologies are further described in the Cookie Policy and Cookie Preferences controls.
These Terms do not duplicate or replace those privacy disclosures.
28. Governing Law: Commonwealth of Virginia
These Terms are governed by the laws of the Commonwealth of Virginia, United States, to the fullest extent permitted by applicable law, without giving effect to choice-of-law rules that would require application of another jurisdiction's law.
Mandatory law that cannot legally be displaced remains applicable.
29. Virginia Forum & Venue
To the fullest extent permitted by applicable law, and unless an applicable separately executed agreement provides otherwise, disputes concerning these Terms or website use should be brought in a court of competent jurisdiction located in the Commonwealth of Virginia, United States.
Each party consents to the personal jurisdiction of such courts to the extent that consent is legally effective.
Prime may seek appropriate urgent, protective, equitable, or injunctive relief in another court where legally necessary to protect intellectual property, confidential information, systems, security, or legal rights.
30. Informal Dispute Resolution
Before commencing ordinary non-emergency litigation concerning these website Terms, the claimant must provide written notice reasonably identifying:
- the claimant;
- the nature of the dispute;
- the relevant facts;
- the requested relief; and
- current contact information.
The parties should use reasonable good-faith efforts to discuss the dispute after notice.
This section does not prevent Prime from immediately addressing fraud, security incidents, intellectual-property violations, unlawful activity, collections, or circumstances requiring urgent protective, equitable, or injunctive relief. Notice or discussion under this section does not extend, suspend, or toll a statute of limitations unless Prime expressly agrees in writing.
31. Electronic Communications & Transactions
Where the parties agree to conduct a transaction electronically, electronic records, communications, signatures, acknowledgments, and contracts may be used to the extent permitted by applicable law.
Merely viewing the website does not constitute an electronic signature. Nothing in these Terms fabricates consent or eliminates a legally required acceptance, disclosure, delivery, attribution, or retention process.
You are responsible for keeping contact information current and for retaining copies of electronic records relevant to your transactions.
32. No Waiver
A failure or delay in exercising a right or remedy does not waive that right or remedy. A waiver is effective only when made by an authorized party in a legally effective writing and applies only to the specific matter stated.
A single or partial exercise of a right does not prevent another or further exercise of that or any other right.
33. Severability
If a provision of these Terms is held invalid, unlawful, or unenforceable, it will be limited or modified to the minimum extent necessary to make it enforceable where permitted by law. If it cannot lawfully be so limited or modified, it will be severed.
The remaining provisions will continue in effect to the fullest extent permitted by applicable law.
34. Assignment
You may not assign or transfer rights or obligations under these website Terms without Prime's prior written consent, except where applicable law prohibits that restriction.
Prime may assign these Terms in connection with a merger, financing, acquisition, reorganization, sale of assets or business, transfer by operation of law, or similar transaction, subject to applicable law. Any purported assignment contrary to this section is ineffective to the extent permitted by law.
35. No Third-Party Beneficiaries
These Terms are intended for the benefit of the parties and do not create rights or remedies for another person or entity, except where these Terms expressly state otherwise or applicable law requires otherwise.
36. Relationship of the Parties
Use of the website does not create a partnership, joint venture, agency, fiduciary, employment, franchise, or representative relationship between the user and Prime.
Neither party may bind the other except through actual authority established by a legally effective agreement. A separate professional-services agreement may define a different relationship for that engagement within its scope.
37. Force Majeure
To the fullest extent permitted by applicable law, Prime is not responsible for delay or failure caused by circumstances outside its reasonable control, including natural disasters, severe weather, utility failure, telecommunications failure, Internet disruption, cyberattack, governmental action, labor disruption, civil disturbance, war, public emergencies, third-party platform outages, and hosting or infrastructure failures.
Prime will use commercially reasonable efforts appropriate to the circumstances to mitigate material effects where reasonably practicable.
This section does not excuse an obligation that applicable law prohibits from being excused.
38. Entire Agreement for Website Use
These Terms, together with policies expressly incorporated by reference, constitute the entire agreement between the user and Prime solely concerning general use of the public website and its online features, and supersede prior or contemporaneous representations concerning that subject.
This section does not supersede a separate written service agreement, proposal, statement of work, order, engagement letter, or other agreement governing paid professional services. Such an agreement controls within its scope.
39. Changes to These Terms
Prime may amend these Terms to reflect changes in law, operations, technology, security, services, vendors, risk, or website functionality.
Revised Terms become effective when published unless a different effective date is stated or applicable law requires additional notice or consent. The Last Updated date identifies the latest published revision.
Continued use after publication constitutes acknowledgment of the revised Terms, but does not substitute for affirmative agreement where applicable law requires a separate acceptance mechanism.
40. Interpretation
Headings are for convenience and do not limit the meaning of these Terms. “Including,” “includes,” and similar terms are illustrative and not exhaustive. The singular includes the plural and vice versa where the context permits.
References to writing may include legally effective electronic records where applicable law permits. References to law include applicable amendments and successor provisions.
If these Terms conflict with a mandatory requirement of applicable law, the mandatory requirement controls to the minimum extent necessary, and the remaining provisions should continue to be interpreted consistently with applicable law.
